This License Agreement applies to the software, tools, downloads, updates, documentation, and related materials made available through eblabs.com.
eblabs is a product of Derailleur Interactive Ltd.
This License Agreement is between you and Derailleur Interactive Ltd. In this agreement, “Derailleur Interactive,” “eblabs,” “we,” “us,” and “our” refer to Derailleur Interactive Ltd. and the eblabs product line. “You” refers to the individual, company, studio, school, organization, or other legal entity that purchases, downloads, installs, accesses, or uses the software.
By purchasing, downloading, installing, copying, accessing, or using the software, you agree to this License Agreement. If you do not agree to this License Agreement, do not install or use the software.

Artist License
An Artist License is for one individual user.
The licensed user may use the software for personal, freelance, commercial, educational, and professional work, as long as the license is only used by that one individual.
Enterprise License
An Enterprise License is for a company, studio, school, educational institution, or other organization.
One license seat is required for each individual user who uses the software. For example, if 10 artists use the software, 10 seats are required.
Your work belongs to you
You keep ownership of the work you create using the software, including your projects, scenes, assets, rigs, animation, renders, images, videos, exports, and other creative work.
The software belongs to us
The software is licensed, not sold. Derailleur Interactive Ltd. owns the software, tools, code, documentation, branding, and related intellectual property.
Updates and downloads
Licenses include access to downloads and updates according to the license type purchased.
A one-time license includes download and update access for the access period shown at checkout or in your license information.
A subscription license includes download and update access while the subscription is active. If the subscription ends, is cancelled, or payment fails, download and update access ends.
Restrictions
You may not resell, redistribute, sublicense, rent, lease, lend, share, or provide unauthorized access to the software or your license key.
End User License Agreement
1. License grant
Subject to your compliance with this License Agreement and payment of all applicable fees, Derailleur Interactive Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to install and use the software according to the license type you purchased.
The software is licensed, not sold. This License Agreement does not transfer ownership of the software to you.
2. License types
2.1 Artist License
An Artist License permits one individual user to install and use the software.
The licensed user may use the software for personal work, freelance work, commercial work, professional studio work, educational work, and internal production work.
An Artist License may not be shared by multiple users. If more than one person needs to use the software, each user must have their own license seat.
Unless otherwise stated at checkout, an Artist License is assigned to one individual user and may not be reassigned, transferred, shared, pooled, or used as a floating license.
2.2 Enterprise License
An Enterprise License permits a company, studio, school, educational institution, or other organization to make the software available to its employees, contractors, students, faculty, or other authorized users.
One license seat is required for each individual user who uses the software.
For example, if an organization has 100 users who use the software, the organization must purchase 100 license seats.
Enterprise License seats may be managed by the purchasing organization for use by its authorized users. The organization is responsible for ensuring that the number of users does not exceed the number of purchased seats.
Enterprise Licenses may be used for internal production, commercial projects, client work, educational instruction, research, and related professional use.
2.3 Educational use
Educational institutions must use an Enterprise License unless a separate educational license is offered.
Students, instructors, or individual users may use an Artist License for their own individual use, provided the license is not shared with other users.
2.4 Subscription licenses
A subscription license permits use of the software and access to downloads and updates while the subscription remains active and in good standing.
If a subscription ends, is cancelled, expires, or payment fails, your access to downloads, updates, and subscription-only license benefits ends.
Unless otherwise stated at checkout, subscription licenses do not provide continued access to new downloads or updates after the subscription ends.
2.5 One-time licenses
A one-time license permits continued use of the software version you downloaded while your download and update access was active.
A one-time license includes access to downloads and updates for the access period shown at checkout or in your license information.
After the download and update access period ends, you may continue using the last version of the software that you were entitled to download, but you will not have access to new downloads, new updates, or new versions unless you renew or purchase additional access.
3. License keys and account access
You are responsible for keeping your license key, download links, account access, and related credentials secure.
You may not share, publish, sell, transfer, distribute, or otherwise provide your license key or download access to anyone who is not authorized under your license.
We may suspend or disable a license key, download access, or account access if we reasonably believe the license is being shared, abused, resold, used beyond the purchased seat count, or used in violation of this License Agreement.
4. Installation and backup copies
You may make reasonable copies of the software as necessary for installation, backup, archival, deployment, or internal IT administration, provided those copies are used only in accordance with this License Agreement.
Backup or deployment copies do not increase the number of users permitted under your license.
5. Updates and downloads
During your active download and update access period, we may make updates, fixes, improvements, or new versions available.
We are not required to provide any specific update, feature, compatibility change, or release schedule.
We may change, replace, rename, remove, or discontinue specific downloads, builds, versions, or update channels at any time.
Access to updates and downloads is tied to the license type purchased and the status of your license.
6. Support
We may provide support through email, documentation, website resources, or other channels we choose.
Unless a separate written support agreement says otherwise, support is provided at our discretion and is not guaranteed.
We are not required to provide support for modified software, unsupported host applications, unsupported operating systems, expired licenses, expired subscriptions, expired download access, or versions that are no longer maintained.
7. Ownership
Derailleur Interactive Ltd. owns all rights, title, and interest in and to the software, including all code, tools, scripts, interfaces, documentation, designs, workflows, branding, trademarks, trade names, website content, and related intellectual property.
The software is protected by copyright law, intellectual property law, and other applicable laws.
All rights not expressly granted to you in this License Agreement are reserved by Derailleur Interactive Ltd.
8. Ownership of your work
You retain ownership of the projects, scenes, assets, animation, rigs, renders, images, videos, exports, and other creative work you create using the software.
This License Agreement does not give us ownership of your creative work.
You are responsible for ensuring that you have the rights required for any assets, media, files, plugins, software, or other materials you use with the software.
9. Restrictions
You may not:
- Resell, redistribute, sublicense, rent, lease, lend, share, or provide unauthorized access to the software.
- Share, publish, sell, transfer, or distribute your license key or download links.
- Use one license seat for multiple users unless the license type expressly allows it.
- Exceed the number of purchased license seats.
- Remove, hide, alter, or obscure copyright notices, license notices, branding, or ownership notices.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software, except where applicable law expressly allows it.
- Modify the software for the purpose of bypassing license checks, access controls, download restrictions, or technical protections.
- Use the software to develop or distribute a competing product that copies the software’s functionality, interface, structure, or proprietary workflows.
- Use the software in violation of applicable law.
- Use the software in a way that infringes the rights of Derailleur Interactive Ltd. or any third party.
10. Third-party software and host applications
The software may work with third-party applications, plugins, APIs, libraries, tools, platforms, operating systems, or services.
Your use of third-party software or services is governed by their own terms and licenses.
We are not responsible for third-party software, third-party services, host application changes, operating system changes, plugin conflicts, API changes, discontinued compatibility, or other issues outside our control.
11. Compatibility
We may identify supported host applications, operating systems, platforms, or versions in our documentation or product materials.
Compatibility information is provided for convenience and may change over time.
We do not guarantee that the software will work with every system, pipeline, configuration, host application version, plugin, operating system update, hardware setup, or production environment.
You are responsible for testing the software in your own environment before relying on it in production.
12. Payments, taxes, renewals, and cancellations
Prices, license terms, subscription terms, renewal terms, and access periods are shown at checkout or in your license information.
You are responsible for all applicable taxes, duties, fees, and charges related to your purchase.
Subscription licenses may renew automatically according to the terms shown at checkout. You are responsible for cancelling a subscription before renewal if you do not want it to renew.
If a subscription payment fails, the subscription is cancelled, or the subscription otherwise ends, access to subscription benefits, downloads, and updates may end.
Payment processing may be handled by a third-party payment provider. Your payment transaction may also be subject to that provider’s terms and policies.
13. Refunds
Refund eligibility, if any, is governed by the refund policy shown at checkout or on our website.
Unless otherwise required by applicable law or expressly stated in our refund policy, purchases are final once a license key, download, or software access has been provided.
14. Confidentiality of private builds
If we provide you with a private build, beta build, pre-release version, internal test version, or custom build, you may not share, publish, distribute, demonstrate, review, benchmark, or disclose it without our written permission.
Private builds and beta versions may be incomplete, unstable, unsupported, or changed before release.
15. Feedback
If you provide feedback, suggestions, bug reports, feature requests, ideas, or other comments about the software, you grant Derailleur Interactive Ltd. permission to use that feedback without restriction or compensation to you.
You are not required to provide feedback.
16. Privacy and license validation
The software, website, license system, payment provider, or download system may process information necessary to provide downloads, validate licenses, manage subscriptions, prevent abuse, provide support, and operate the product.
This may include information such as license keys, product edition, purchase status, subscription status, update access status, download access status, email address, customer name, company name, IP address, system information, software version, host application version, or related diagnostic information.
Use of personal information is subject to our Privacy Policy, if applicable.
17. Termination
This License Agreement remains in effect until terminated.
You may terminate this License Agreement by stopping all use of the software and deleting all copies in your possession or control.
We may terminate or suspend your license if you violate this License Agreement, fail to pay applicable fees, exceed your license seat count, share license keys, abuse download access, or otherwise misuse the software.
If this License Agreement is terminated, you must stop using the software and delete all copies in your possession or control.
Sections relating to ownership, restrictions, confidentiality, disclaimers, limitation of liability, termination, and governing law will survive termination.
18. No warranties
To the maximum extent permitted by applicable law, the software is provided “as is” and “as available” without warranties of any kind.
Derailleur Interactive Ltd. disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, compatibility, availability, and uninterrupted or error-free operation.
We do not warrant that the software will meet your requirements, work with your production pipeline, operate without interruption, be error-free, remain compatible with third-party software, or be suitable for any particular project or production.
You are responsible for backing up your files, testing the software, and deciding whether the software is suitable for your use.
19. Limitation of liability
To the maximum extent permitted by applicable law, Derailleur Interactive Ltd. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, loss of production time, loss of goodwill, business interruption, production delays, pipeline failures, or costs of substitute software or services.
To the maximum extent permitted by applicable law, Derailleur Interactive Ltd.’s total liability for any claim related to the software or this License Agreement will not exceed the amount you paid for the software during the twelve months before the claim arose.
These limitations apply whether the claim is based in contract, tort, negligence, strict liability, statute, or any other legal theory, even if we have been advised of the possibility of damages.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.
20. Indemnity
If you are using the software on behalf of a company, studio, school, organization, or other legal entity, that entity agrees to defend, indemnify, and hold harmless Derailleur Interactive Ltd. from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from your organization’s misuse of the software, violation of this License Agreement, violation of applicable law, or infringement of third-party rights.
21. Export and legal compliance
You are responsible for complying with all applicable laws and regulations related to your use of the software, including export control laws, sanctions laws, privacy laws, employment laws, tax laws, and intellectual property laws.
You may not use, export, re-export, or transfer the software in violation of applicable law.
22. Changes to this License Agreement
We may update this License Agreement from time to time.
The version that applies to your license is the version presented or made available when you purchased, downloaded, installed, updated, renewed, or continued using the software.
If we make material changes, we may require you to accept the updated License Agreement before accessing future updates, downloads, or services.
23. Assignment
You may not assign, transfer, delegate, or sublicense this License Agreement or your license without our prior written permission.
We may assign this License Agreement as part of a merger, acquisition, reorganization, sale of assets, corporate restructuring, or transfer of the eblabs product line.
24. Severability
If any part of this License Agreement is found to be invalid, illegal, or unenforceable, the remaining parts will remain in effect.
The invalid, illegal, or unenforceable part will be interpreted as closely as possible to its original intent while remaining valid and enforceable.
25. Entire agreement
This License Agreement, together with any checkout terms, invoice terms, product-specific terms, subscription terms, refund policy, privacy policy, or written agreement that expressly applies to your purchase, forms the entire agreement between you and Derailleur Interactive Ltd. regarding the software.
It replaces any prior or separate discussions, proposals, statements, representations, or understandings about the software.
26. Governing law
This License Agreement is governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable there, without regard to conflict of law rules.
You agree that any dispute related to this License Agreement or the software will be brought in the courts located in British Columbia, Canada, unless applicable law requires otherwise.
